1. The Service

Lead Qualifi is a multi-tenant SaaS platform that captures enquiries from connected lead sources (such as B2B marketplaces, website forms and CRMs), engages those leads over the WhatsApp Business API, qualifies them using automated and AI-assisted questioning, and presents categorised results (Hot, Warm, Cold) in a dashboard with export capabilities. Features available to you depend on your subscription plan.

2. Eligibility & Accounts

You must be at least 18 years old and authorised to bind your business to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

You are responsible for managing users you invite to your workspace and for ensuring they comply with these Terms.

3. Subscriptions, Plans & Payment

The Service is offered as subscription plans (AI Manager, AI Business Manager) with limits on lead volume, users and connected accounts. Subscriptions are billed annually in advance and are stated exclusive of applicable taxes (including GST). Overage usage, additional seats, message credit packs and add-ons are billed at the rates published or quoted to you. Third-party operational costs, such as Meta WhatsApp messages, AI tokens and portal APIs, are billed directly by the relevant providers at cost, with no markup added by us.

• Subscriptions renew automatically until cancelled.
• Fees already paid are non-refundable except where required by law.
• We may revise pricing with at least 30 days' notice, effective at your next billing cycle.
• We may suspend the Service for overdue payments after reasonable notice.

4. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited or unlawful messages, or violate any applicable anti-spam or telemarketing laws;
• Breach the WhatsApp Business Messaging Policy, Meta's terms, or the terms of use of any connected lead source platform;
• Upload data you do not have the lawful right to process, or message individuals without a valid legal basis;
• Reverse engineer, resell, or attempt to gain unauthorised access to the Service;
• Transmit malware or interfere with the integrity or performance of the Service.

5. Third-Party Services

The Service relies on third-party platforms including the Meta WhatsApp Business Platform, connected lead source platforms, AI providers and cloud infrastructure. Your use of those platforms is subject to their own terms and policies. We are not responsible for changes, outages, or pricing decisions made by these providers, though we will use reasonable efforts to maintain integrations.

6. Customer Data & Ownership

As between the parties, you own the lead data, content and information you submit or that is captured on your behalf ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide and improve the Service. You are responsible for the accuracy and lawfulness of Customer Data and for obtaining any consents required to process the personal data of your leads. Our handling of personal data is described in our Privacy Policy.

7. Service Availability & Support

We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party dependencies or events beyond our control may affect availability. Support is provided according to your plan. Annual Maintenance Contract terms, where applicable, are set out in your separate agreement.

8. Intellectual Property

The Service, including its software, design, logos and trademarks, is owned by Lead Qualifi Business Solutions and protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred. You may not use our branding without prior written consent.

9. Termination

You may cancel your subscription at any time, effective at the end of the current billing period. We may suspend or terminate your access for breach of these Terms, non-payment, or unlawful use. On termination, your right to use the Service ends and we may delete Customer Data after a reasonable retention period, subject to the Privacy Policy and applicable law.

10. Disclaimers

The Service is provided "as is" and "as available". AI-based lead scoring and categorisation are probabilistic and provided for guidance only; we do not warrant that qualification results, scores or outcomes will be accurate, complete or lead to any particular business result. You remain responsible for your own sales decisions.

No commercial guarantees: the Service functions exclusively as an efficiency and filtering framework. We do not guarantee business conversions, transaction volume, revenue growth, sales targets, or any specific return on investment (ROI).

Delivery disclaimer: while the Service executes triggers instantly, we do not guarantee a 100% message delivery success rate to end-buyers. Baseline delivery metrics are entirely dependent on third-party telecommunication operators, recipient device settings, network uptime, and third-party communication APIs.

API interdependency: Lead Qualifi Business Solutions holds no operational responsibility or liability for delayed, dropped, or corrupted leads stemming from structural updates, downtime, packet loss, or rate-limiting policies enforced by external entities.

11. AI Execution & WhatsApp Automation Rules

The core efficiency of the Service lies in autonomous conversational responses. By using the Service, you acknowledge the following:

• 24/7 autonomous communication: you explicitly acknowledge and direct that our AI agents operate autonomously twenty-four (24) hours a day, seven (7) days a week. The system will trigger automated outreach messages to ingested leads immediately upon reception, irrespective of standard local business hours.
• AI factual accuracy safeguard: our conversational models are constrained, monitored and contextualised using a private knowledge base uploaded by you. However, due to the baseline architectural properties of Large Language Models (LLMs), the AI agent may occasionally produce inaccurate, partial or anomalous responses ("hallucinations"). We give no absolute warranty regarding error-free output and accept no liability for false representation by the automated agent.
• Non-binding conversational scope: any interaction, quotation, specification or detail generated by the AI agent acts solely as a preliminary qualification filter. It does not constitute a legally binding agreement, explicit contract, or official transactional obligation on behalf of either you or Lead Qualifi.

12. Limitation of Liability & Third-Party Fraud

To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special or consequential damages, or for lost profits or revenues. Our total aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

Critical risk limitation: Lead Qualifi Business Solutions exercises no validation control over the source, intent, or legitimacy of prospective leads generated by third-party search directories, portals, or external websites, and does not perform security scanning or commercial audits on incoming leads. We disclaim any operational or monetary liability concerning fraudulent, incorrect, malicious, or phishing enquiries delivered from third-party networks. Any operational damage, transactional loss, phishing vulnerability, or financial harm resulting from your team engaging with unverified leads rests strictly between you and the relevant external party; Lead Qualifi carries no liability or fiduciary obligation regarding these occurrences.

13. Indemnification

You agree to indemnify and hold harmless Lead Qualifi and Lead Qualifi Business Solutions from claims, damages and expenses arising from your Customer Data, your use of the Service, or your breach of these Terms or applicable law.

14. Governing Law

These Terms are governed by the laws of India. The courts at the registered location of Lead Qualifi Business Solutions shall have exclusive jurisdiction, subject to any applicable arbitration agreement between the parties.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Your continued use after changes take effect constitutes acceptance.
